Code of ethics

Preamble

Our company, as a leader in the high-tech industry, strives to enhance corporate value through progressive and efficient management activities, and to grow and develop together with all stakeholders, including shareholders. As a listed company, we faithfully fulfill our duties and responsibilities to become a trusted enterprise.​

We respect all domestic and international laws and market order, take the lead in establishing fair trade practices, respect social values and customs, and contribute to national and social development through various social contribution activities.​​

Accordingly, our company hereby establishes this Code of Ethics and pledges to practice it in order to foster a sound and fair corporate culture.

Chapter 1. Basic Corporate Principles

The Company pursues mutual prosperity by building trust and cooperation with customers, shareholders, employees, competitors, business partners, local communities, the nation, and the international community.​
We pursue ethical management and comply with the laws and practices of local communities, the nation, and the international community based on sound values.​ We establish fair trade practices based on honesty and integrity, and compete fairly with the highest quality and technology.​

I. Responsibilities and Duties to Customers
Recognizing that customer growth is the foundation of our growth, we strive to establish a mutually beneficial relationship.​
  • We always think from the customer's perspective, listen carefully to customers' voices, and make our best efforts to develop superior products and quality that customers can trust and be satisfied with.​
  • We respect the reputation and interests of our customers and seek to realize the value they desire.​
  • We provide accurate information to customers, protect their interests, safety, and personal information, and refrain from exaggerated advertising or unfair practices.​
II. Responsibilities and Duties to Shareholders
We respect shareholders' opinions to the greatest extent possible and strive to maximize shareholder value.
  • We protect shareholders' rights and respect their legitimate requests and proposals.​
  • With the mindset that shareholders are the owners of the Company, we build mutual trust with shareholders and investors and do our best to serve their interests.​
  • The Company makes management decisions by considering the interests of all shareholders at all times and treats minority shareholders fairly so that their interests or rights are not unfairly infringed upon.
III. Responsibilities and Duties to Employees
We recognize the dignity and value of each employee and strive to enhance their quality of life, both spiritually and materially.​​

  • The Company does not use its superior position to force or exert undue influence in any form of unfair conduct.​

Chapter 2. Basic Ethics of Employees​
I. Basic Attitude of Employees​
  • Employees share the Company's management philosophy, empathize with its goals and values, and faithfully carry out the duties assigned to them in accordance with Company policies.​
  • Employees foster an organizational culture based on smooth communication and mutual trust among superiors and colleagues.​​
  • Employees perform their duties to the best of their ability by legitimate means and comply with all relevant laws and Company regulations related to their work.​​
II. Fair Performance of Duties​
  • Provision and Receipt of Money, Gifts, or Entertainment​
    • Employees shall not receive any money, gifts, or entertainment from business partners or other interested parties.​
    • In relation to Company business, employees shall not provide money, gifts, or entertainment to business partners or other interested parties beyond the scope permitted by the Improper Solicitation and Graft Act.​
    • Employees shall not exchange money, excessive gifts, or entertainment among themselves.​
    • If it is unavoidable to provide gifts or entertainment to customers or suppliers, such provision shall be made reasonably within the limits of the Improper Solicitation and Graft Act, subject to the judgment of the head of the relevant organization.​
  • Employees shall not discriminate against colleagues or customers on the basis of gender, age, family ties, regional ties, educational background, religion, disability, or other factors.​
  • Management of Company Funds​
    • Company funds shall be managed transparently and lawfully, and employees shall not commit breach of trust or embezzlement in relation to fund management.​
    • No undisclosed funds shall be created for any purpose, and no false or artificial financial operations shall be conducted.
  • Management of Company Assets​
    • Company assets shall not be illegally leaked or used for personal purposes.​​
    • Employees shall not sell or alter Company assets without authorization in a manner that causes financial loss or interferes with business operations.​
  • Employees shall not engage in any physical, verbal, or visual conduct that may cause sexual humiliation or that harms sound collegial relationships.​
III. Conflict of Interest​
  • Company Interests and Personal Honor​

    In performing their duties, employees shall avoid transactions in which the Company's interests conflict with personal interests. If such a conflict arises, it shall be resolved by prioritizing the Company's interests and personal integrity.​

  • Use of Non-Public Information​

    During their employment, employees shall not use non-public information acquired about the Company, customers, or suppliers to trade in stocks, securities, or other property interests, nor provide such information to others.​

  • Concurrent Employment and Investment Restrictions​

    Employees shall not assume positions, maintain advisory roles, or engage in business relationships with competitors, customers, or suppliers if such roles could affect independent judgment or hinder the proper performance of their duties. Employees shall also not invest in such competitors, customers, or suppliers (except for legitimate acquisition of publicly traded shares on the stock market).​

  • Prohibition of Political Involvement​
    • Employees shall not engage in political activities during working hours or use the Company's organization, workforce, or assets for political purposes.​
    • While individual employees' political rights and views are respected, they must ensure that their personal political opinions or involvement are not misconstrued as the Company's position.​
IV. Confidentiality
  • Employees shall maintain and manage as confidential any non-public information concerning the Company's business, finance, personnel, or technology, including plans and materials, and shall not disclose or leak such information externally without prior authorization in accordance with established Company policies and procedures.​
  • Upon leaving the Company, employees shall not retain original or copied materials (including documents, diskettes, optical media, external hard drives, or any other storage media) containing such information, nor disclose them to others.​
V. Violations of the Code of Ethics
  • All employees who encounter or witness any violation of this Code of Ethics shall immediately report it to the department responsible for the Code of Ethics.​
  • In the event of a violation, the Company shall thoroughly investigate the cause and provide appropriate education to prevent recurrence.​
